B2B Terms and Conditions of Return & Refund
1. General Policy and Final Sale
All sales of nut products (the "Goods") are conducted on a Business-to-Business (B2B) basis. Due to the perishable nature of the Goods and food safety regulations, all sales are considered FINAL and non-returnable unless otherwise specified in this Policy. The "Change of Mind" return policy common in retail (B2C) does not apply to these commercial transactions.
2. Inspection and Notice of Defects
The Buyer shall inspect the Goods immediately upon delivery.

Time Limit: Any claims regarding visible damage, shortage, or quality non-conformity must be submitted in writing to the Seller within forty-eight (48) hours of receipt of the Goods.

Documentation: Claims must be accompanied by the original Bill of Lading (BOL), high-resolution photographs of the outer packaging, internal product condition, and batch/lot numbers.

Failure to Notify: Failure to provide notice within the specified timeframe shall constitute unqualified acceptance of the Goods and a waiver of all such claims.
3. Quality Standards and Latent Defects
The quality of the Goods shall be governed by the technical specifications agreed upon at the time of purchase (e.g., moisture content, acidity, peroxide value).

Latent Defects: For quality issues that cannot be discovered through reasonable visual inspection (e.g., internal spoilage), the Buyer must provide a report from a certified third-party laboratory.

Natural Variations: Slight variations in color, size, or a breakage rate of less than [3%] (inherent to bulk nut transportation) shall not be deemed as defects.
4. Limited Remedies
In the event of a valid and approved claim, the Seller’s liability shall be limited, at the Seller’s sole discretion, to:

Replacement: Replacement of the defective portion of the Goods at no additional cost to the Buyer; OR

Credit/Refund: A refund or credit memo for the invoice value of the non-conforming portion of the Goods. The Seller shall not be liable for any indirect, incidental, or consequential damages (including loss of profit) arising from the transaction.
5. Storage and Force Majeure
The Seller shall not be responsible for any deterioration of quality caused by:

Improper storage or handling by the Buyer (e.g., exposure to heat, humidity, or pests).

Any processing, repackaging, or alteration of the Goods by the Buyer.

Delays or damages caused by Force Majeure events or third-party logistics providers.
6. Return Shipping and Restocking
No Goods may be returned without a written Return Merchandise Authorization (RMA) issued by the Seller. If a return is authorized for reasons other than a Seller-confirmed defect, the Buyer shall be responsible for all return freight charges and a restocking fee of [15%-20%] of the total order value.
7. Governing Law
These terms shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles.
